Who this is between
TalkERP Inc., a Delaware corporation (a WHM Ventures company), and you — the legal entity that signs up for a TalkERP tenant. "We" means TalkERP; "you" means your organization.
What we'll do
Provide access to TalkERP per the plan you signed up for, host it in our infrastructure, keep it reasonably available, and respond to issues during business hours. We will not intentionally degrade or remove features that were part of the plan you bought; new features may ship behind add-ons or higher tiers.
What you'll do
Use the product for your actual operation, keep your credentials secure, do not try to break or probe the service in ways that would put other tenants at risk, do not use the product to do anything illegal, and pay the invoice on time.
Money-back guarantee
New paid customers get thirty calendar days from the date of their first paid invoice to request a full refund of that invoice for any reason. We will not ask why; we will process the refund and close the tenant on the next deletion cycle. After the thirty-day window, refunds are pro-rated to the unused portion of the term where applicable.
Billing and cancellation
Monthly or annual billing per your plan. We will email an invoice; we accept ACH, wire, and major credit cards (Enterprise: net-30 wire on agreement). You can cancel at any time; cancellation takes effect at the end of your current paid period. Founder Cohort terms are locked for 3 years from signing.
Your data
Your operational data is your property. We process it on your behalf, per the Privacy policy. On cancellation we delete it inside a 30-day window. We do not retain copies in archive after that, and we do not train any model on your data at any point.
Acceptable use
The short version: do not use TalkERP to commit fraud, to harass, to send spam, to deliberately misrepresent your data, to attempt to extract another tenant's data, to probe our security beyond responsible-disclosure norms, or to do anything illegal under the laws of your jurisdiction or ours.
Service availability
We target high availability and will treat material outages as incidents. We do not yet publish an uptime SLA; Enterprise customers can negotiate one as part of their contract. Maintenance windows are announced in advance.
Liability and warranties
TalkERP is provided "as is." We do not warrant that every answer is correct — every claim the system makes is pinned to a source you can audit, and you remain responsible for verifying material decisions you make on the basis of an answer. Our liability for any claim is capped at the fees you paid us in the twelve months preceding the claim, except for cases of gross negligence or willful misconduct.
Disputes
We will try to resolve any dispute directly first. Anything that cannot be resolved that way goes to binding arbitration in Delaware under standard commercial rules. Either party may seek injunctive relief in court to protect intellectual property or confidential information.
Changes to these terms
We will update these terms when materially needed and email tenant admins the diff. We will not retroactively change a term in a way that disadvantages an active paid customer inside their current paid period.
